"Base Price" means the course price set by the Instructor and Darkroom Technologies India Pvt. Ltd.(Company hereafter)
"Base Currency" means the currency of the Base Price.
"Base Exchange Rate" means a system-wide rate used by the Company for foreign currency conversion and does not include any fee or mark-up by the Company. The rate is established using one or more third parties and is fixed periodically (e.g. monthly) to prevent daily price fluctuations. Accordingly, the Base Exchange Rate may not be identical to the applicable market rate in effect at the specific time a foreign currency conversion is processed.
"Sale Price" means the actual sale price for the Course. When the Sale Currency is different from the Base Currency, the Company will determine the Sale Price based on the applicable Base Exchange Rate and Cost Adjustment Factor.
"Sale Currency" means the currency of the sale. This is determined by the country of origin of the User purchasing the Course.
"Cost Adjustment Factor" means applicable local taxes and other fees associated with currency conversions. In regions that use a common currency, e.g., the EU, the Cost Adjustment Factor uses a weighted average of country specific tax rates to ensure the same prices to end customers across the region.
"Net Amount" means the amount actually received from Students for Your Course, less any refunds paid, applicable sales or other taxes (VAT in EU), and any amounts paid in connection with Marketing Programs that You participate in.
As an Instructor, You will be solely responsible for determining the Base Price You charge Students for Your Courses. You agree to charge only for Your own Submitted Content. The Company will handle billing and other fee interaction with Users. When the Sale Currency is different than the Base Currency, the Company will determine the Sale Price according to the most recent Base Exchange Rate and applicable Cost Adjustment Factor.
If You choose to participate in any of the Company's Marketing Programs, the fee You receive from the Company will be in accordance with the terms of the particular Marketing Program that applies to the sale of Your Course. Otherwise You will receive the following:
You authorize the Company to perform the appropriate calculations, deduct and retain the transaction fee, and pay You the Net Amount as indicated above.
As an Instructor you are contracting directly with WPC, by Darkroom Technologies India Pvt. Ltd. In India. Instructors do not have a direct contractual relationship with Users. Additionally, although we may utilize other the Company subsidiaries to facilitate your payments, the contract remains between you and the Company.
Restricted Persons We Cannot Do Business With
You hereby warrant that you are not a Restricted Person ("Restricted Person"). For purposes of the Instructor Terms and Conditions, you are a Restricted Person if you or any officer, director, or controlling shareholder of the entity on behalf of which you are using the Site or Services is (1) a national of or an entity existing under the laws of Cuba, Iran, Sudan, Syria, or any other country with which Indian persons are prohibited from engaging in transactions, as may be determined from time to time by the Govt. of India; (2) designated as a Specially Designated National or institution of primary money laundering concern; (3) listed on the Denied Persons List or Entity List Govt of India; (4) engaged in nuclear, missile, chemical, or biological weapons activities to which Indian persons may not contribute without a Indian Government license; or (5) owned, controlled, or acting on behalf of a Restricted Person. If you become a Restricted Person during the term of this Instructor Terms and Conditions, you shall notify the Company within twenty-four (24) hours, and the Company shall have the right to terminate any further obligations to you, effective immediately and with no further liability to you, but without prejudice to your outstanding obligations to the Company.
You agree that you shall not utilize the Sites or the Services to conduct or facilitate any transaction with any Restricted Person, except as may be expressly authorized in advance in writing by the Indian Government. You may not remove or export from India or allow the export or re-export of the Services, or any direct product thereof, including technical data, in violation of any restrictions, laws, or regulations of India or any other applicable country.
Users are entitled to refunds pursuant to Our general Terms of Service and You agree that Company may deduct such refunds from subsequent amounts owed to You. Company will issue remit to You any amounts remaining after the foregoing deductions and adjustments, in INR or USD. All INR payments will be done via bank transfer. It is your responsibility to provide your details as and when required by the Company. For Forex payments, so that Company can pay you in a timely manner, you must have a PayPal account in good standing and keep the Company apprised as to the correct email address associated with your PayPal account. Payment will be made within forty-five (45) days of the end of the month in which the fee for a Course was received. You are responsible for providing Company with all identifying and tax information necessary for the payment of amounts due.
In the event that the sale or delivery of a Course or any Submitted Content to any Student in the European Union is subject to any value added tax ("VAT"), under applicable law, the Company will collect and remit the VAT to the competent tax authorities for sales of such Courses or Submitted Content to Students in the European Union. the Company may at its own discretion increase the Sale Price where the Company is of the view that VAT may be due and the Company will have a liability to account for such. You will indemnify and hold the Company harmless against any and all claims by any tax authority for any underpayment of VAT, and any penalties and/or interest thereon.
All other countries
For sales of any of Courses or Submitted Content in countries other than the European Union, You are responsible for remitting the taxes to the appropriate taxing authority (which may be different to the tax authority in your own location). the Company is unable to provide you with tax advice and You should consult your own tax advisor.
Optional Marketing Programs
the Company Optional Marketing Program(s) for Paid Courses
The "WPC Deals Program" is the the Company Marketing Program that utilizes highly segmented discounting via email and other channels designed to price test and find the optimal price for Your Course(s). Typical deals offered under the the Company Deals Program include both Percentage Promotions (e.g., 25%, 50% off) as well as Fixed-Price Promotions (e.g., Rs 999, Rs, 1999, Rs, 2999 or $10, $19 or $29 deals).

There is no upfront cost to put this full-scale marketing attack to work selling Your Course(s), and it's a terrific way to increase exposure and sales.
the Company Marketing Boost Program Terms & Conditions:
When an External Partner promotes Your Course, a portion of the fee for each Student that the External Partner refers to Your Course will be paid to the External Partner.
When the Company, at its option, purchases and places advertisements for Your Course on third party websites, and tracks the resulting sales through appropriate means (including, but not limited to, tracking pixels, cookies and the like) ("Paid Advertising"), there will be fees associated with such activities.
By participating in the the Company Marketing Boost Program, You agree that the Company: (i) may employ External Partners and Paid Advertising to promote Your Courses; and (ii) may deduct External Partner fees or Paid Advertising fees before calculating the amount remitted to you. You acknowledge that Your revenue share may vary, but will be 25% of Net Amount in most cases.

4) You should not use or post work of another photographer on www.worldphotographersclub.com. If you wish to use someone else's work make sure to take prior permission from the content author and properly cite authors name where ever you use his/her content.
5) Users/Photographers are responsible for all content they upload, and should not contain content that might be threatening, pornographic, invokes violence
6) Users/Photographers should not upload any virusses or other malacious content that might harm www.worldphotographersclub.com
7) www.worldphotographersclub.com reserves the right to delete any user, photographs, blogs and other content that do not follow these Terms and Conditions.

These terms are effective as of 1st November 2015 The P2M System is available to users who accept these terms and conditions of use of this service. The user account holds potential balance of money received from the P2M System or from other sources we approve. You may be able to redeem some or all of this money. The P2M System provides an opportunity to earn money in connection with certain activities that take place on or in connection with the System, such as posting Content that generates ad revenue.
To the maximum extent permitted by law, you are responsible for any applicable taxes associated with income you generate via the P2M System, other than taxes based on our net income, and all payments from us to you in relation to the P2M System will be treated as inclusive of tax (when applicable) and will not be adjusted. To comply with tax law and other legal requirements, Darkroom Technologies reserves the right to disclose revenue information or other data to tax authorities and other governmental entities as we deem appropriate. We may send you tax forms or other documents for you to review, complete and/or file. The filing of relevant tax documents is the sole responsibility of you, and you agree to comply with any filing requirements. You agree to absolve Darkroom Technologies of responsibility for any tax or filing fees you may incur (for example, you being charged a penalty for failing to file the tax forms in a timely manner).
Darkroom Technologies may amend the P2M System at any time and at its sole discretion, by posting the updated version on worldphotographersclub.com (such as via link to it in the footer). Unless you reject the update as described below, you will be deemed to accept the changes and they will take effect at the earlier of:
To reject a proposed update, you must, by the deadline on the day specified above, and without accepting the update, deactivate your account as described above. If you follow the process above to reject the update, then the update will not take effect between us and you. However, if you later wish to opt in to P2M System, or accept the update in some other manner, you will be subject to the relevant version of the P2M System Terms in effect at that time, including its update process.
